Doubtful. I mean, maybe they are but those suits will go nowhere. Not seeking refunds to curry favor with the president is a business judgment. It might be stupid but stupidity does not state a claim against the board.

That was my thought, too. It is not a conflict of interest situation in which the BJ rule wouldn't apply. The directors are (maybe) making a strategic call that obtaining the refund will cost the company more in the long run. That seems like a quintessential BJ decision that would be dismissed at the outset.
